1. Acceptance of terms.
These Terms of Service (the "Terms") form a binding agreement between you and FareRx LLC ( "FareRx," "we," "us," "our"), a Pennsylvania limited liability company, governing your use of farerx.com (the "Site") and the services we provide through it (collectively, the "Services"). By using the Services, you agree to these Terms. If you don't agree, don't use the Services.
2. What FareRx provides.
FareRx delivers the following, subject to your eligibility and geography:
- Medically tailored grocery delivery in participating ZIP codes.
- Medical Nutrition Therapy (MNT), Diabetes Self-Management Education (DSME), and the Diabetes Prevention Program (DPP) delivered by credentialed Registered Dietitians.
- Remote Patient Monitoring (RPM) and Chronic Care Management (CCM) services where clinically indicated.
- Teaching Kitchen programming at our Philadelphia facility.
- Member Hospitality — a real person who coordinates your care.
Some Services are available directly to members; others are available only through health plan, employer, or provider partnerships. Availability, coverage, and eligibility depend on your location, insurance, and clinical profile.
3. Not a substitute for medical care.
FareRx's services support, but do not replace, the relationship with your primary care physician, specialist, or other treating clinician. Nutrition counseling provided by our Registered Dietitians is clinical nutrition therapy — it is not a diagnosis or treatment for any medical condition beyond nutrition. Content on the Site is for informational purposes only and is not medical advice.
If you are experiencing a medical emergency, call 911 or go to your nearest emergency room. Do not use the Site or message your dietitian for urgent or emergency medical issues.
4. Eligibility and account.
- You must be at least 18 years old (or have your parent or guardian enroll on your behalf).
- You must reside in the United States.
- You must provide accurate, current, and complete information and keep it up to date.
- You are responsible for maintaining the confidentiality of any account credentials.
- We may refuse service, suspend, or terminate accounts that violate these Terms or applicable law.
5. Your responsibilities.
- Provide accurate health information to your dietitian. Outcomes depend on the quality of what you tell us.
- Notify us of allergies, dietary restrictions, medication changes, and household changes that affect delivery.
- Be available (or make arrangements) for scheduled deliveries and sessions.
- Treat our staff, drivers, and clinicians with respect. Harassment, discrimination, or threats are grounds for immediate termination.
- Comply with applicable law in your use of the Services.
6. Insurance, billing, and payment.
Where your Services are covered by insurance (Medicare Part B, Medicare Advantage, Medicaid, or a commercial plan), FareRx will bill your plan directly using our NPI (1740031988) and standard CPT codes. You are responsible for any deductibles, co-insurance, co-payments, or non-covered services your plan does not pay for.
Where Services are provided under a direct agreement (cash pay or employer-sponsored), applicable fees, payment cadence, and cancellation terms will be disclosed at enrollment and may be set forth in a separate service agreement that supplements these Terms.
You authorize FareRx to verify your eligibility and benefits, submit claims on your behalf, and receive payment directly from your plan. If your plan requires pre-authorization or referral, you authorize us to pursue those on your behalf. If a claim is denied for reasons specific to your plan or coverage, we will notify you and help you understand your options.
7. Grocery delivery terms.
- Delivery is available only in participating ZIP codes. Check your eligibility for current coverage.
- We deliver on a weekly or biweekly cadence. Delivery windows are communicated in advance.
- Please make reasonable efforts to be home or provide safe delivery instructions (door, neighbor, building access). If we cannot reach you after documented attempts, we may pause delivery until you confirm.
- Groceries are packed fresh in insulated, reusable bags. Once delivered, perishables should be refrigerated promptly.
- We reserve the right to substitute items of equal or greater quality when a specified item is unavailable.
- If you receive spoiled, damaged, or incorrect items, notify your Member Hospitality rep within 48 hours and we will make it right.
- Reusable bags remain the property of FareRx. Please return the prior week's bag at the next delivery.
8. Nutrition counseling and clinical services.
- Nutrition counseling is provided by credentialed Registered Dietitian Nutritionists (RDNs).
- A plan of care is developed in collaboration with you and, where applicable, your treating physicians.
- You may cancel or reschedule sessions per the cadence communicated at intake. Repeated missed sessions without notice may result in program pause or discharge per clinical judgment.
- Clinical notes are maintained in accordance with Pennsylvania law and may be shared with your health plan, referring physician, or other authorized parties for treatment, payment, and healthcare operations (see our Privacy Policy).
9. Remote patient monitoring devices.
- If you're enrolled in RPM, we will loan you connected devices (blood pressure cuff, glucose monitor, scale, pulse oximeter) appropriate to your care plan.
- Devices remain the property of FareRx. You agree to use them as instructed and return them if your program ends.
- Readings are transmitted to your care team for clinical review. You are responsible for taking readings at the cadence agreed to in your plan of care.
- We do not guarantee device accuracy beyond manufacturer specifications. Follow the device instructions and your clinician's guidance.
10. Teaching Kitchen participation.
- Classes are held at our Philadelphia facility. Participation requires enrollment, advance scheduling, and attendance commitments described at intake.
- Please inform us of any food allergies prior to attending. We maintain a standard list of class ingredients and can generally accommodate common dietary restrictions.
- You participate at your own risk. Our staff are trained in kitchen safety, but kitchens involve knives, heat, and allergens. Do not participate if a clinical condition makes that unsafe.
- Photography and recording in the kitchen are limited to protect member privacy. Please ask before capturing any image of another member.
11. Cancellation and refunds.
You may cancel your participation in any Service at any time by contacting Member Hospitality. For covered benefits (Medicare, Medicare Advantage, commercial plans), there is no direct cost to you and no refund required beyond final session reconciliation with your plan. For cash-pay or employer-sponsored Services, refund terms will be set forth in your service agreement. We don't charge cancellation fees. If a partner (health plan or employer) ends a program, we will notify enrolled members and help coordinate transition.
12. Privacy and HIPAA.
Your information is handled under our Privacy Policy, which includes our HIPAA Notice of Privacy Practices. By using the Services, you acknowledge receipt of that Notice and agree to the collection, use, and disclosure of information as described there.
13. Intellectual property.
FareRx, the FareRx logo, the wordmark, "Food Is Medicine. Delivered.", "Food is personal.", our recipes, menus, educational content, photography, and all other materials we create are owned by FareRx LLC or our licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site and Services for personal, non-commercial purposes. You may not copy, modify, redistribute, or create derivative works of our materials without our prior written consent. Nothing in these Terms grants you any ownership interest in FareRx intellectual property.
14. Your content and feedback.
If you submit reviews, photos, comments, or other content to us (collectively, "User Content"), you retain ownership of that content and grant FareRx a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, publish, and display the User Content in connection with the Services (subject to the Privacy Policy — we won't publish your clinical details or personally identifying information without your consent). You represent that you own or have the necessary rights to your User Content and that it does not violate any third party's rights or any law. Feedback and suggestions you share with us may be used by FareRx without obligation to you.
15. Third-party sites and services.
The Site may link to third-party sites (like our Trust Center, outcomes report, FIM Intel, or partner sites). We are not responsible for the content, policies, or practices of those sites. Use of third-party sites is subject to their own terms and privacy policies.
16. Prohibited conduct.
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law.
- Impersonate anyone or misrepresent your affiliation with anyone.
- Reverse engineer, scrape, or otherwise attempt to extract the source code or underlying data of the Site.
- Interfere with or disrupt the Services, the Site, or any servers or networks connected to them.
- Use the Services to transmit any virus, malware, or other harmful code.
- Attempt to gain unauthorized access to any account or data that isn't yours.
- Resell, sublicense, or commercially exploit the Services without written permission.
- Harass, threaten, or harm our staff, drivers, clinicians, or other members.
17. Disclaimers.
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FARERX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
Health outcomes depend on many factors including your clinical profile, engagement, and medical care outside of FareRx. We do not guarantee specific clinical outcomes. Outcomes data we publish reflects aggregate program results and does not predict individual results.
18. Limitation of liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FARERX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN ANY CASE, FARERX'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FARERX IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
19. Indemnification.
You agree to defend, indemnify, and hold harmless FareRx and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party right.
20. Governing law and venue.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. Subject to the arbitration clause below, any dispute that is not subject to arbitration shall be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to personal jurisdiction in those courts.
21. Arbitration and class action waiver.
Please read this section carefully. It affects how disputes are resolved.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court if it qualifies. The arbitration shall be conducted in Philadelphia, Pennsylvania (or by videoconference, at your election), and judgment on any award may be entered in any court with jurisdiction.
YOU AND FARERX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
30-day opt-out. You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hello@farerx.com with the subject line "Arbitration Opt-Out." Opting out will not affect any other part of these Terms.
Nothing in this section prevents either party from seeking injunctive or equitable relief in court for infringement of intellectual property rights, or from reporting a complaint to a government agency (including the Office for Civil Rights).
22. Changes to these terms.
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top and, where appropriate, notify you through the Site or by email. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you don't agree with the updated Terms, stop using the Services.
